These Terms of Service (“Terms”) govern your access to and use of the website located at reciprocityaccounting.com (the “Site”) and any related services, content, or communications provided by Reciprocity Accounting LLC (“Reciprocity Accounting,” “we,” “our,” or “us”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

We may update these Terms from time to time. Continued use of the Site after any changes constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.

 

Eligibility

You must be at least 18 years of age to use the Site or engage our services. By using the Site, you represent that you meet this requirement.

 

About Our Services

Reciprocity Accounting provides bookkeeping, financial reporting, and business advisory services to dental practices. Tax preparation services, when applicable, are provided through licensed third-party professionals.

Reciprocity Accounting LLC is not a certified public accounting (CPA) firm and does not provide audit, review, compilation, or attest services. Nothing on this Site constitutes legal, tax, investment, or professional accounting advice. Information presented on this Site is for general informational purposes only and should not be relied upon as a substitute for consultation with a qualified professional.

Your use of this Site does not create a client, fiduciary, or advisory relationship between you and Reciprocity Accounting. A client relationship is established only through execution of a written engagement agreement.

 

User Obligations

When using the Site, you agree not to:

  • Use the Site for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to gain unauthorized access to any portion of the Site, related systems, or networks.
  • Use the Site to transmit harmful code, spam, or unsolicited communications.
  • Reproduce, distribute, or create derivative works from Site content without our prior written consent.

We reserve the right to refuse or restrict access to the Site at our discretion if we believe these obligations have been violated.

 

Intellectual Property

All content on this Site, including text, graphics, logos, images, and software, is the property of Reciprocity Accounting LLC or its licensors and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and view the Site for personal, non-commercial purposes. This license does not include the right to modify, copy, distribute, or create derivative works from any Site content.

 

SMS Communications

Reciprocity Accounting operates an SMS notification service (the “SMS Service”) for authorized contacts at dental practices we serve and prospective clients who inquire through the Site. Messages are operational in nature and may include reminders to submit daily reports, practice management alerts, onboarding communications, and follow-up communications related to your inquiry or engagement with Reciprocity Accounting. Opt-In. Recipients are added to the SMS Service in one of two ways: (1) authorized staff at dental practice clients provide their mobile number during the client onboarding process and consent to receive operational alerts, or (2) prospective clients provide their mobile number through a contact or inquiry form on our website and consent to receive follow-up communications. Participation is completely voluntary and is not a condition of any engagement or purchase with Reciprocity Accounting. Upon enrollment, you will receive a one-time confirmation message that includes instructions on how to opt out.

 

Opt-Out. If you do not wish to continue receiving the SMS Service, you may opt out at any time by replying STOP, UNSUBSCRIBE, or CANCEL to any message received from Reciprocity Accounting. You may receive a one-time opt-out confirmation message. Once opted out, no further messages will be sent to your mobile device unless initiated by you. To re-enable messages, reply START. You understand and agree that any other method of opting out is not a recognized means of opting out under this section.

 

Message Frequency. Message frequency varies by recipient type. Operational alerts to dental practice staff are sent on business days only, typically once per day. Follow-up communications to prospective clients are sent as needed in connection with their inquiry. Reciprocity Accounting reserves the right to alter the frequency of messages at any time.

 

Fees. Reciprocity Accounting does not charge for the SMS Service. Message and data rates may apply depending on your mobile carrier plan. Check your mobile plan and contact your wireless provider for details. Not all wireless carriers, mobile devices, or handsets may be supported and messages may not be deliverable in all areas. Reciprocity Accounting, its service providers, and the mobile carriers are not liable for delayed or undelivered messages.

 

Support. For SMS Service support or assistance, reply HELP to any message or contact us at info@reciprocityaccounting.com or by phone at (833) 538-5551. Use of this phone number is not an acceptable method of opting out. Opt-outs must be submitted in accordance with the procedures set forth above.

 

Telephone Number Used. We may change any telephone number we use to operate the SMS Service at any time and will notify you of these changes. You acknowledge that any messages, including any STOP or HELP requests, you send to a telephone number we have changed may not be received and we will not be responsible for honoring requests made in such messages.

 

Third Parties. Reciprocity Accounting routes SMS communications through Twilio and Salesmsg, third-party service providers. SMS consent and phone numbers are not shared with any third parties or affiliates for marketing purposes. The wireless carriers supported by the SMS Service are not liable for delayed or undelivered messages. Your Responsibilities. To receive the SMS Service, you must have a wireless device capable of two-way messaging and be a wireless service subscriber with text message service. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to update your contact information with Reciprocity Accounting. If at any time you intend to stop using the mobile telephone number you provided, including canceling your service plan or transferring the phone number to another party, you agree to complete the opt-out process set forth above prior to ending your use of that mobile number.

 

Prohibited Content. You acknowledge and agree not to send any prohibited content through the SMS Service, including any fraudulent, libelous, defamatory, threatening, or harassing activity; objectionable content including profanity, obscenity, violence, bigotry, hatred, or discrimination; pirated computer programs, viruses, worms, or other harmful code; any content that implicates personal health information protected by HIPAA or the HITECH Act; or any other content prohibited by applicable law.

 

SMS Service Warranty Disclaimer. The SMS Service is offered on an “as-is” basis and may not be available in all areas at all times and may not continue to work in the event of product, software, coverage, or other changes made by your wireless carrier. You agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the SMS Service, any errors in such information, or any action you may or may not take in reliance on the information or the SMS Service.

 

Applicable State Laws. If you are a resident of Florida, New Jersey, Washington, or Oklahoma, the following terms apply as applicable. For Florida residents, we endeavor to comply with the Florida Telemarketing Act and the Florida Do Not Call Act; you agree that messages sent in direct response to your messages or requests shall not constitute a “telephonic sales call” or “commercial telephone solicitation phone call” for purposes of Florida Statutes Section 501. For New Jersey residents, we will state our company name at the start of every message. For Washington residents, we endeavor to comply with commercial telephone solicitation requirements pursuant to the Revised Code of Washington. For Oklahoma residents, we endeavor to comply with the Oklahoma Telephone Solicitation Act of 2022.

 

Third-Party Links

The Site may contain links to third-party websites or services. We do not control and are not responsible for the content, privacy practices, or availability of those sites. Inclusion of a link does not imply endorsement. Your use of third-party sites is at your own risk and subject to their respective terms and policies.

 

Privacy

Your use of the Site is also governed by our Privacy Notice, which describes how we collect, use, and protect your personal information. By using the Site, you consent to the practices described in the Privacy Notice.

 

Disclaimer of Warranties

THE SITE AND ALL CONTENT, INFORMATION, AND SERVICES PROVIDED THROUGH IT ARE OFFERED ON AN “AS IS” AND “AS AVAILABLE” BASIS. RECIPROCITY ACCOUNTING MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

 

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RECIPROCITY ACCOUNTING LLC, ITS OFFICERS, MEMBERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, REGARDLESS OF THE THEORY OF LIABILITY. IN NO EVENT SHALL OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE, INCLUDING THE SMS SERVICE, EXCEED FIFTY DOLLARS ($50.00).

 

Indemnification

You agree to indemnify, defend, and hold harmless Reciprocity Accounting LLC, its members, officers, employees, agents, and service providers from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Site or any violation of these Terms.

 

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to conflict of law principles. In the event of any dispute arising out of or relating to these Terms or the Site, the parties shall first attempt to resolve the dispute informally by contacting Reciprocity Accounting at info@reciprocityaccounting.com. If the dispute is not resolved within thirty (30) days after the informal notice is received, either party may initiate binding arbitration in Cincinnati, Ohio, administered in accordance with the Commercial Arbitration Rules of the American Arbitration Association. Each party waives any right to a jury trial and agrees that disputes shall be brought solely in an individual capacity, not as a plaintiff or class member in any class, collective, or representative proceeding.

Any claim arising under these Terms must be brought within one (1) year after the cause of action accrues, or such claim shall be permanently barred.

 

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

 

Entire Agreement

These Terms, together with the Privacy Notice, constitute the entire agreement between you and Reciprocity Accounting with respect to your use of the Site and the SMS Service. These Terms do not modify or supersede any separate written engagement agreement between you and Reciprocity Accounting.
